Terms of Use of Tuyo

These terms govern access to and use of the Tuyo product. They apply together with any contract, order form or commercial proposal applicable between Web3 Ops, S.L. and the customer company.

Executive summary Tuyo is a SaaS product and, where applicable, an on-premise deployment intended for internal use by the contracting company. It may not be resold or sublicensed to third parties without prior written authorisation. The commercial licence is single and non-transferable, limited to the customer company and may not be used to provide services to third-party clients.

1. Purpose

Tuyo is a legal AI assistant for legal teams and law firms. It allows users to consult sources, structure information, generate drafts, provide operational continuity and support certain conversational or intake workflows.

2. Nature of the service

  • Tuyo may be provided as a cloud service or, when expressly contracted, through a local or on-premise deployment.
  • The customer is responsible for reviewing, validating and approving any output before using it in production, in connection with clients, files or legal decisions.
  • Tuyo does not replace professional judgement, human review or the user's own regulatory compliance.

3. Access and authorised users

The customer must limit access to staff, internal collaborators or users expressly authorised within its own organisation. The customer is responsible for use made with its credentials, integrations or authorised environments.

4. Commercial licence

Unless otherwise agreed in writing, Web3 Ops, S.L. grants the customer a limited commercial licence to use Tuyo exclusively within its own company.

  • The licence is single and non-transferable.
  • The licence is granted exclusively for internal use by the contracting company.
  • The licence does not authorise assignment, transfer, sublicensing or making the product available to third parties.
  • The licence does not authorise the use of Tuyo as a tool to provide services to third-party clients or to operate as a shared multi-company platform.

5. No resale and no use for third parties

Tuyo may not be resold, relicensed, sublicensed, packaged or marketed to third parties without prior written authorisation from Web3 Ops, S.L.

  • Tuyo may not be used as a bureau service, white-label service or exploitation channel for third-party clients.
  • Access may not be opened to clients, end clients, unauthorised affiliates or third parties outside the contracting customer without written permission.
  • Hours, seats, access, automations, agents, prompts, workflows or Tuyo capacity may not be resold to third parties.

6. Intellectual property

Tuyo, its software, brand, documentation, interface, base prompts, workflows, design, functional structure and associated materials are owned by Web3 Ops, S.L.

  • Tuyo is copyright Web3 Ops, S.L.
  • The customer retains ownership of its own data, documents and content.
  • Use of the service does not transfer ownership of the product or of its intellectual or technical components.

7. Use restrictions

  • Copying, decompiling, disassembling or attempting to extract source code is not permitted unless a mandatory rule expressly allows it.
  • Removing ownership notices, trademarks or copyright indications is not permitted.
  • Using Tuyo to develop a competing product or to feed third-party systems without authorisation is not permitted.
  • Illegal, unsafe, abusive uses or uses that may affect service availability, integrity or reputation are not permitted.

8. Data, confidentiality and European infrastructure

Tuyo is provided with enhanced confidentiality. Tuyo servers are in Europe. The AI providers we use to deliver the service are also hosted in Europe and subject to a ZDR (zero data retention) requirement.

The customer must avoid entering data or materials into the service where it lacks a lawful basis to do so. Web3 Ops, S.L. will adopt reasonable security and confidentiality measures according to the contracted architecture and modality, including GDPR-aligned data protection safeguards where personal data is processed.

9. Availability, support and changes

  • Availability, service levels, support and maintenance will be those resulting from the contracted plan or agreement.
  • We may introduce reasonable improvements, adjustments, updates or changes for security, continuity, quality or product evolution.
  • Where appropriate, material changes will be communicated through the usual customer relationship channels.

10. Liability

Tuyo is an operational support tool. The customer must review outputs before relying on them for legal, commercial or operational decisions. To the extent permitted by applicable law and unless expressly agreed otherwise, Web3 Ops, S.L. will not be liable for unauthorised uses, unreviewed outputs, data improperly entered by the customer or decisions made without adequate supervision.

11. Suspension or termination

We may suspend or terminate access in the event of material breach, unauthorised use, improper assignment, prohibited resale, security risks or non-payment, without prejudice to any contractual or legal actions that may apply.

12. Contractual precedence

If a contract, order form or specific agreement exists, that document will prevail over these terms in anything it specifically regulates for the relationship with the customer.
